Terms of Service

These Terms of Service (the "Terms") form a binding agreement between you and StarTrader ("StarTrader", "we", "us", or "our") and govern your access to and use of the StarTrader website, mobile applications, and related services (collectively, the "Service"). These Terms also serve as your User Agreement with StarTrader.

By creating an account, checking the box that references these Terms, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, you must not access or use the Service.

The Service is intended only for individuals who meet all of the following requirements. By using the Service you represent and warrant that:

• You are at least 18 years of age (or the age of majority in your jurisdiction, if higher).
• You are accessing the Service from a jurisdiction where simulated sports gaming with a virtual, non-cashable currency is lawful.
• You are not located in, under the control of, or a national or resident of any country or region subject to applicable sanctions or embargoes, and you are not on any restricted-party list.
• You have not previously been suspended or removed from the Service.
• You are registering only one account for your own personal, non-commercial use.

We may, but are not obligated to, verify your age, identity, and location at any time, and may suspend or restrict access pending verification.

StarTrader is an entertainment product: a simulated player stock market built on top of real sports. Users buy and sell simulated "shares" of real athletes using StarCoins, a virtual in-platform currency, compete in leagues, and build a portfolio whose simulated value rises and falls based on real-world athletic performance and platform mechanics.

The Service is a game of skill and entertainment. Player prices, indices, taxes, and other mechanics are simulations defined by StarTrader and do not represent any real security, commodity, or financial instrument, and do not reflect any real-world market value.

StarTrader is not a gambling, betting, wagering, or real-money gaming service. You do not stake real money on outcomes, and you cannot win, withdraw, or cash out real money or anything of monetary value through gameplay.

StarTrader is not a brokerage, exchange, investment platform, or financial service. StarCoins are not securities, money, e-money, stored value, or a financial instrument of any kind. The simulated "shares," "prices," "portfolios," "dividends," "taxes," and similar terms are game mechanics used for entertainment and do not constitute investment advice or an offer to buy or sell any security.

Nothing on the Service should be construed as financial, investment, legal, or tax advice. You are solely responsible for understanding the laws that apply to you, and you agree not to use the Service in any manner that would cause it to be characterized as illegal gambling or a regulated financial activity in your jurisdiction.

To use most features you must create an account and provide accurate, current, and complete information, including your legal name, a valid email address, a phone number, and your date of birth. You agree to keep this information up to date.

You are responsible for safeguarding your login credentials and for all activity that occurs under your account. You agree to notify us immediately at support@startrader.gg of any unauthorized use or suspected breach of security. We are not liable for any loss arising from your failure to protect your credentials.

Your account is personal to you. You may not sell, rent, lease, lend, gift, assign, sublicense, or otherwise transfer your account, your username, your StarCoins, your holdings, your league memberships, or any rights under these Terms to any other person or entity, whether for value or otherwise.

Any attempt to transfer an account is void and may result in immediate suspension or termination of all accounts involved and forfeiture of any StarCoins and in-game balances. You may not allow any other person to access or use your account, and you may not access or use an account that is not your own.

Accounts have no value outside the Service and may not be bequeathed; we are under no obligation to transfer an account or its contents to any heir, estate, or third party.

StarCoins are a virtual, in-platform currency used to play StarTrader. StarCoins may be earned through gameplay (such as daily logins, league performance, and referrals) or purchased. Regardless of how they are obtained, StarCoins are subject to the following terms:

• StarCoins have no cash value, are not redeemable for money, and cannot be withdrawn, transferred to another user, or exchanged for anything of monetary value outside the Service.
• When you purchase StarCoins, you receive a limited, personal, non-transferable, revocable license to use them within the Service. You do not own them and acquire no proprietary or property right in them.
• StarCoin purchases are final. Except where required by law, all sales are non-refundable.
• We may change the pricing, availability, mechanics, exchange rates, or features associated with StarCoins at any time, and we may create, manage, modify, or eliminate StarCoin balances at our discretion.
• We may suspend, reduce, or revoke StarCoins obtained through error, fraud, exploitation of bugs, or violation of these Terms.
• Upon termination of your account, any remaining StarCoins are forfeited and we have no obligation to compensate you for them.

StarTrader offers optional paid subscription tiers (such as Pro and Elite) and may offer StarCoin purchases. Payments are processed by our third-party payment processor; we do not store your full payment card details. By providing payment information you authorize us and our processor to charge the applicable fees and taxes.

• Subscriptions renew automatically at the end of each billing period at the then-current price until cancelled.
• You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period, and you will retain paid benefits until then.
• Except where required by law, payments and subscription fees are non-refundable, and partial periods are not prorated or refunded.
• Subscriber benefits, including any StarCoin stipends, are provided as part of the subscription and have no cash value.
• We may change subscription prices or features on prospective notice; continued use after a price change constitutes acceptance.

The Service allows you to create or join leagues and competitions with other users. League commissioners may configure certain settings; you agree to abide by applicable league rules in addition to these Terms. Prizes, standings, and rewards within a league are virtual and have no cash value.

We are not responsible for disputes between users or league members. We reserve the right to modify, suspend, or remove any league, and to adjust standings or balances to correct errors or address violations of these Terms.

You agree to use the Service fairly and lawfully. You must not, and must not attempt to:

• Create or control more than one account, or create an account on behalf of anyone else.
• Use bots, scripts, scrapers, automation, or any unauthorized means to access the Service, place trades, or accumulate StarCoins.
• Manipulate prices, markets, leagues, or rankings, including through collusion, wash trading, or coordinated activity between accounts.
• Exploit bugs, errors, or unintended mechanics, or fail to report them when discovered.
• Buy, sell, or trade accounts, StarCoins, or in-game items for real money or other consideration.
• Reverse engineer, decompile, copy, or create derivative works of the Service except as permitted by law.
• Upload or transmit malware, or interfere with, disrupt, or overload the Service or its infrastructure.
• Harass, threaten, defame, or abuse other users or staff, or post unlawful, infringing, or objectionable content.
• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.

We may investigate suspected violations and take any action we deem appropriate, including warning, suspending, or terminating accounts and reversing or forfeiting balances.

The Service may let you submit content such as usernames, profile details, league names, and messages ("User Content"). You retain ownership of your User Content, but you grant StarTrader a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, and use it as needed to operate and improve the Service.

You are solely responsible for your User Content and represent that you have the rights to submit it and that it does not violate these Terms or any law or third-party right. We may remove User Content at our discretion.

The Service, including its software, design, text, graphics, logos, and the StarTrader name and marks, is owned by StarTrader or its licensors and is protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. All rights not expressly granted are reserved.

Athlete names, team names, statistics, and related sports data are the property of their respective owners and are used for informational and entertainment purposes. StarTrader is not affiliated with, endorsed by, or sponsored by any league, team, or athlete unless expressly stated.

The Service relies on sports data, scores, statistics, and other information obtained from third-party sources, as well as third-party infrastructure providers. We do not guarantee the accuracy, completeness, timeliness, or availability of any such data, and player prices and outcomes may be affected by data errors or delays.

Your use of any third-party service linked to or integrated with the Service is governed by that third party's terms. We are not responsible for third-party services.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, error-free, or free of harmful components, or that any data or simulated results will be accurate. To the maximum extent permitted by law, you use the Service at your own risk.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STARTRADER AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR STARCOINS, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO STARTRADER IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

You agree to indemnify, defend, and hold harmless StarTrader and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use of the Service, your User Content, or your violation of these Terms or any law or third-party right.

We may suspend or terminate your access to the Service, in whole or in part, at any time and for any reason, including suspected violation of these Terms, with or without notice. You may stop using the Service and request deletion of your account at any time.

Upon termination, your license to use the Service ends and any StarCoins and in-game balances are forfeited without compensation. Sections that by their nature should survive termination (including those on StarCoins, intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.

StarTrader is meant to be fun. Although no real money can be won and StarCoins cannot be cashed out, we encourage healthy play habits. Set limits on your time and spending, take breaks, and treat StarCoin purchases as entertainment, not investment.

If you feel your play or spending is becoming difficult to control, you may contact us at support@startrader.gg to request account limits or self-exclusion. Help is also available from responsible-gaming resources in your jurisdiction.

These Terms are governed by the laws of the jurisdiction in which StarTrader is established, without regard to conflict-of-laws principles. [Specify governing state/country before launch.]

To the extent permitted by law, you and StarTrader agree to first attempt to resolve any dispute informally by contacting support@startrader.gg. If a dispute is not resolved within 30 days, the parties agree that disputes will be resolved through binding individual arbitration rather than in court, and you and StarTrader waive any right to a jury trial and to participate in a class action. We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and may provide additional notice. Changes are effective when posted. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
